ICU Medical and Otsuka Pharmaceutical Factory, Inc. (OPF), a global IV solutions manufacturing subsidiary of Otsuka Holdings Co., Ltd., have announced the creation of a joint venture aimed at strengthening supply chain resilience and innovation in the North American IV solutions market.

This collaboration combines OPF’s extensive manufacturing experience across 16 IV solutions production sites in Asia with ICU Medical’s established North American production and distribution capabilities.

OPF brings a history of innovation and significant investment in advanced IV solutions technologies, while ICU Medical contributes its specialized IV pumps and consumables. Together, they will offer a comprehensive range of complementary infusion products for North American customers.

Under the agreement, ICU Medical will handle the commercial operations of the joint venture, ensuring smooth service for North American clients.

The financial terms of the venture include an initial payment of $200 million from OPF to ICU Medical, performance-based milestones at the end of 2026, and a future option for both parties to buy or sell shares in 2030 and beyond.

The partnership will help OPF expand its presence in the North American market, introducing innovative PVC-free technologies, including admixtures, advanced multi-chamber bags for parenteral nutrition, and premixed IV antibiotics. These products will meet the needs of a well-established customer base.

The joint venture aims to address the ongoing supply chain challenges faced by the North American IV solutions market, which has been disrupted by events such as Hurricane Maria in 2017 and Hurricane Helene in 2024. By working together, ICU Medical and OPF plan to secure long-term FDA approval for manufacturing sites abroad and pursue import authorisation for the U.S. market, while focusing on speeding up the development of new products.
