Chiesi Group Completes Acquisition of KalVista Pharmaceuticals

Chiesi Group, a research-focused biopharmaceutical company, has completed its acquisition of KalVista Pharmaceuticals. KalVista will now operate as part of Chiesi’s Rare Diseases business unit, which focuses on the research, development and commercialisation of treatments for rare and ultra-rare conditions.

Through the acquisition, Chiesi has gained ownership of EKTERLY (sebetralstat), the first and only oral, on-demand treatment approved for hereditary angioedema (HAE) attacks in adults and adolescents aged 12 years and older. The therapy has already received approval in the United States, the United Kingdom, the European Union, Japan and several other markets.

Clinical studies are continuing to evaluate EKTERLY for the treatment of HAE attacks in children aged between two and 11 years, while regulatory applications remain under review in additional key markets worldwide.

On 11 June 2026, Chiesi completed its tender offer to acquire all outstanding shares of KalVista common stock at a cash price of US$27 per share. Shares validly tendered and accepted for payment represented approximately 77.8% of KalVista’s outstanding common stock.

Following the completion of the tender offer, Chiesi finalised the acquisition through the merger of one of its wholly owned subsidiaries with KalVista. Under the merger terms, all remaining outstanding shares of KalVista common stock were converted into the right to receive the same cash payment of US$27 per share.

As a result, KalVista has become a wholly owned subsidiary of Chiesi, and its common stock has been delisted from the Nasdaq Global Market. The acquisition strengthens Chiesi’s position in rare disease therapies and expands its portfolio with an approved treatment for hereditary angioedema.
